Terms of Service - AdamX

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by AdamX Inc. ("AdamX", "we", "us", or "our"), including the AdamX Top Rep, Top Journey, Role Play, and Champions products (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services.
You must provide accurate, current, and complete registration information.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Customer Data and AI Processing

"Customer Data" means any data, content, recordings, transcripts, files, or other information you submit to the Services.
You grant AdamX a license to process Customer Data solely to provide and improve the Services. We do not claim ownership of your Customer Data.
The Services use AI/ML models to generate insights. AI outputs may be probabilistic and can contain inaccuracies. You are responsible for reviewing outputs.
We do not use Customer Data to train, fine-tune, or improve any AI models.
We retain Customer Data for 30 days by default and will delete earlier upon request.

3. Acceptable Use

You agree not to:

Use the Services in violation of any applicable laws or regulations
Infringe intellectual property, privacy, or other rights
Upload malware or attempt to gain unauthorized access
Reverse engineer or decompile the Services
Use the Services to develop competing products

4. Third-Party Services

The Services may interoperate with third-party products (e.g., Gong, Zoom, Salesforce). Your use of third-party services is subject to their terms. AdamX is not responsible for third-party services.

5. Subscriptions, Fees, and Taxes

Certain features require a paid subscription. Unless otherwise stated, subscriptions auto-renew.
Fees are non-refundable unless required by law.
Prices are exclusive of taxes. You are responsible for applicable taxes.
Payments are processed by Stripe.

6. Confidentiality

Customer Data is your Confidential Information. Each party will protect the other's Confidential Information using reasonable care.

7. Intellectual Property; Feedback

AdamX owns all rights to the Services, including software, models, and algorithms.
You own your Customer Data and outputs generated from it.
If you provide feedback, you grant AdamX a perpetual license to use it.

8. Beta and Trial Features

Beta or trial features are provided "as is" without warranties and may be modified or discontinued at any time.

9. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR THAT OUTPUTS WILL BE ACCURATE.

10. Indemnification

You will defend and indemnify AdamX from claims arising from your use of the Services, your Customer Data, or your violation of these Terms.

11. Limitation of Liability

ADAMX'S TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

12. Term and Termination

These Terms remain in effect until terminated.
We may suspend or terminate access for violations.
Upon termination, your right to use the Services ceases.

13. Changes to Terms

We may modify these Terms from time to time. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of California, USA. Exclusive venue is Santa Clara County, California.
